1. Parties
These Terms & Conditions (“Terms”) are a binding agreement between you (“you”, “the user”) and Eden Digital Limited, a company registered in England & Wales (Company No. 06505187), registered office 52 Cochrane Drive, Dartford, Kent, DA1 2GE, United Kingdom (“we”, “us”, “Eden Digital”). References to “Dicta” mean the macOS application of that name distributed by us.
2. Acceptance
By downloading, installing, or using Dicta, you agree to these Terms. If you don’t agree, don’t install or use Dicta.
3. Licence grant
We grant you a non-exclusive, non-transferable, revocable licence to install and use Dicta on up to two Macs belonging to you, subject to these Terms.
You may not:
- Resell, sublicense, lease, rent, or otherwise commercially exploit your licence or any copy of Dicta.
- Reverse-engineer, decompile, or disassemble Dicta except to the extent permitted by applicable law.
- Share your licence key publicly or with people who haven’t purchased their own licence.
- Remove or alter any copyright, trade-mark, or proprietary notices in Dicta.
4. Free trial
Dicta is offered with a 14-day fully-functional trial. No payment details are required to start the trial. When the trial expires, you need a valid licence to continue dictating. You may purchase a licence at any time before, during, or after the trial.
5. Purchase, pricing, and Paddle
Dicta is sold as a one-time purchase. There are no recurring charges and no in-app purchases. The current price is shown on the Dicta product page at the time of checkout, in your local currency where supported.
All purchases are processed by Paddle.com Market Limited (“Paddle”), who act as our merchant of record. This means Paddle is the seller of record on your invoice and is responsible for collecting and remitting applicable taxes (including VAT/GST) and for handling payments. By purchasing Dicta, you also agree to Paddle’s Checkout Buyer Terms and Privacy Policy.
6. Refunds
We offer a 14-day, no-questions-asked refund from the date of purchase. Refund requests outside that window will be considered on a case-by-case basis. Full details, including the self-service refund flow, are in the Refund Policy.
7. Privacy and data
Dicta processes your voice entirely on your device. Your audio, transcriptions, and dictionary entries never leave your Mac. We collect no usage data or behavioural analytics from the app; the only data it sends is anonymous crash reports (via Sentry, no personal data). The licence validation system stores only the licence key, the machine identifier (a non-personally-identifying hash), and the email address you used to purchase. 8. Intellectual property
Dicta, its source code, design, name, logo, documentation, and any related materials are the exclusive property of Eden Digital Limited and its licensors. Your licence to use Dicta does not transfer any ownership rights to you. Dicta uses open-source components (notably WhisperKit) under their respective licences; full attribution is shown in the app’s About screen.
9. Updates and continued availability
We aim to maintain and improve Dicta over time. Updates are delivered through Sparkle (the standard macOS update framework) and are included with your one-time purchase. Because Dicta runs entirely on your Mac, it will continue to work even if we change direction, slow down development, or discontinue the product. We’ll always give reasonable notice before any change that materially affects existing purchasers.
10. Warranties
We provide Dicta “as is” and don’t guarantee uninterrupted or error-free operation. Speech-recognition accuracy depends on many factors (microphone quality, accent, vocabulary, background noise) and we don’t warrant any specific level of accuracy. Nothing in these Terms excludes or limits your statutory consumer rights under UK law (including under the Consumer Rights Act 2015).
11. Limitation of liability
To the extent permitted by law, our total liability to you arising out of or in connection with Dicta is limited to the amount you paid for your licence in the 12 months preceding the event giving rise to the claim. We’re not liable for indirect, consequential, or special losses, lost profits, lost data, or business interruption.
Nothing in this section limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot be limited under English law.
12. Termination
You may stop using Dicta and uninstall it at any time. We may terminate or suspend your licence if you materially breach these Terms (for example, by sharing your licence key publicly, attempting to circumvent licensing, or reverse-engineering Dicta). Sections that by their nature should survive termination (intellectual property, liability, governing law) will continue to apply.
13. Changes to these Terms
We may update these Terms occasionally. The “Last updated” date at the top of this page reflects the latest version. For material changes affecting your rights, we’ll do our best to notify existing purchasers by email. Continuing to use Dicta after a change means you accept the revised Terms.
14. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers resident elsewhere in the EU, the EEA, or other jurisdictions retain any rights to bring proceedings in their local courts that cannot be excluded by contract.
